WADS Constitution
Constitution of the Society as amended on [ 10 October 2007 ]
Name: The name of the society shall be the Witchford Amateur Dramatic Society (“the Society”).
Objectives: The aim of the Society is to bring together the residents of Witchford and surrounding villages where children
attend a Witchford School(“Witchford”), in order to present amateur theatrical productions and associated events. At least
one production or event each year should include scope for substantial participation by the young people of Witchford.
Membership
Eligibility: All residents of Witchford shall be eligible to become members of the Society. Others may be included at the
discretion of the committee Membership is at one of two levels, either Associate or Full Membership.
Associate Membership: gives members all the rights of Full Membership except the right to vote at meetings and to stand
for office.
Full Membership: gives the members all membership rights.
Membership: is a requirement in order to participate in WADS activities, and involves registration of all family members
wishing to participate in any WADS activity. However, membership of WADS does not guarantee inclusion in all or any of
WADS activities. Membership registration entitles a member to attend any WADS meeting. Circulation of meeting minutes
shall be on a request basis, and via e-mail only. (Additional distribution other than via e-mail shall be at the discretion of the
WADS secretary in agreement with the requesting member), and shall continue unless the WADS member does not attend
a meeting on at least a ‘once per three months’ basis, whereupon circulation shall cease.
Subscription: There is a one-off subscription fee for full membership of £5 for individuals and £10 for families. Associate
membership is free.
Full Family Membership: Full family membership entitles the family to two votes which must be exercised in person
Benefits of membership: Full members have priority on tickets for performances along with the cast and crew.
Cessation of membership: Members who move away from Witchford shall cease to be members unless they continue to
play an active role in the Society.
Membership register: The secretary shall maintain a register of members and this will constitute the authorised list of
members.
Officers and Governance
Officers: The officers of the Society shall be a minimum of three – chairman, secretary and treasurer. Further officers
may be added as decided on by the members in meeting.
Term of office: The officers shall be elected by the membership at the Annual General Meeting for a maximum term of
three years with one post changing each year.
Funds: The treasurer shall maintain one current bank account for the Society and may also maintain a deposit account if he
so chooses. Withdrawals may only be made under the signature of two of the following – chairman, secretary and
treasurer. The cheque book shall remain in the custody of the treasurer unless he delegates to one of his fellow officers.
The funds of the society are to be used in the pursuance of the aims of the society.
Calendar: The financial year of the society shall be 1 April to 31 March. The Annual General Meeting of the society shall be
held in May.
Audit: The accounts of the Society shall be audited by an auditor who is independent of the officers of the society and
presented to the members in ordinary or general meeting within six months of the financial year end.
Meetings
Annual General Meeting: To be held in May each year. The Chairman shall submit his report on the activities of the Society
for the year and the Treasurer shall submit draft accounts.
Extraordinary General Meeting: May be called by ten members upon notification to the secretary of the names of the ten
members and the reason for the meeting. The secretary shall call the meeting between 7 and 21 days after notification.
Ordinary meeting: To be held periodically as decided by the officers but with no less than one meeting per quarter.
Notification of meetings: Members shall be given at least seven days notice of meetings.
Quorum: The quorum for a meeting shall be five members, including one officer.
Attendance by non-members: The meetings of the Society are open to all but non-members do not have the right to
propose matters, to vote or to stand for office.
Amendment to the Constitution: Any proposed amendments to the constitution must be included with the notification of the
meeting at which they will be discussed. Members who cannot be present at the meeting may submit comments that
should be deposited with an officer before the meeting. The comments must be read out at the meeting. The constitution
may be amended by a majority vote at any properly convened ordinary or general meeting.
Dissolution of the Society: The society may be dissolved by passing a motion at the Annual General Meeting. If this should
happen all the remaining funds of the Society will be passed on to the Witchford Village Society (or any successor body)
for the benefit of Witchford functions.
